• 5th Edition Contract

    I have prepared a contract using the 4th Edition of the standard conditions of sale but my buyer is insisting that this is changed to refer to the 5th edition. Can he do this?

    There is no rule on which version of the standard conditions must be used (in fact there is no requirement to use any at all, though to not use any would make the transaction unnecessarily complicated). Until contracts are exchanged, the terms are a matter for negotiation. Both the 4th and 5th editions offer fair protection for both buyer and seller. You both need to consider why you want to use the particular edition you favour. What are the clauses you are keen to include/avoid?
